Cambia la maggioranza per le delibere assembleari in tema di contenimento del consumo energetico

The purpose of Law 10/1991
In order to improve the processes of energy transformation, reduce energy consumption and improve the environmental compatibility of energy use the same service and quality of life, January 9, 1991 Law No. 10 encourages and promotes, in agreement with the energy policy of the European Economic Community, the rational use of energy, reduced consumption of energy in the production and use of artifacts, the use of renewable sources energy, reducing specific energy consumption in production processes, more rapid replacement of air in particular in the most energy intensive sectors, including through coordination between the stages of applied research, development and demonstration of industrial production. The policy of rational use of energy and rational use of energy raw materials defines a set of organic actions intended to promote energy conservation, appropriate use of energy sources, including conventional, improvement of technological processes that use or process energy, development of renewable energy, the replacement of energy raw materials are imported.

It is understood the provisions of Articles 1120, second paragraph, and 1121, the third paragraph of the Civil Code.
4) January 9, 1991 Law No. 10, Article 26 paragraph 5: For the adoption of innovations in systems of thermoregulation and heat metering and the consequent allocation of the cost of heating according to consumption actually recorded, the assembly condominium decide by majority vote, in derogation from Articles 1120 and 1136 of the Civil Code.

Unlike most special rules contained in the above mentioned, the legislature of 1991 and 2006, in reference to Article 26 paragraph 2 of Law 10/91, only made reference to the thousandth quota and not the majority refers to the number of condominiums in derogation of the principle of double quorum (heads and thousandths).

Under invoked Article 1 of that Act (in the original), are considered sources of energy, having the character of public interest and public utilities:
- renewable sources of energy or assimilated: the sun, the wind, ' hydropower, geothermal resources, tides, waves and the transformation of organic and inorganic waste or plant products - sources of energy assimilated to renewable sources of energy: combined heat and power, understood as the combined production of electrical or mechanical energy and heat, the energy recovered in the exhaust and heating systems from electrical and industrial processes, as well as other forms of energy recoverable in processes, systems and products including energy savings achieved in air-conditioning and lighting of buildings with interventions on the building envelope and installations.

interventions mentioned in Article 8 of the Act are as follows:
a) insulation in existing buildings to enable energy savings of at least 20 percent, and adhere to the technical regulations in Annex Table A.
b) installation of new high-efficiency heat generators, which represent a steady state performance, measured by direct method of not less than 90 per cent, both in new buildings and existing ones;
c) installation of heat pumps for space heating or water or sanitary facilities for the use of renewable energy that provide for recovery at least 30 percent of the heating requirements of the system in which the intervention is implemented under the provisions of Title II;
d) installation of production equipment combined electricity and heat;
e) installation of photovoltaic systems for electricity production, for such interventions the contribution may be increased up to 80 percent;
f) installation of integrated control systems and accounting separation consumption of heat as well as heat and hot water for each housing unit, computerized systems for monitoring and management of air conditioning as well as centralized processing and self to achieve the objectives of Article. 1;
g) processing of centralized heating systems in detached gas for heating and domestic hot water equipped with automatic temperature control, entered in buildings with more housing units, with determination of consumption for individual units, except those located in areas identified by the regions and autonomous provinces of Trento and Bolzano in accordance with Article . 6, where heating networks are present;
h) installation of high efficiency lighting systems, even in outdoor areas.

Article 8 above, it draws attention to the letter "g", by which the Law 10/91 wanted to encourage the processing of central heating systems in single-family plants.

In reference to the majorities 's approval of the works, had formed the orientation according to which the resolution was duly taken with a majority share in thousandths (501/1000).

Regarding the implementation instead of the whole as indicated in Article 26, Article 28 paragraph 1, the same Law also provided a draft of the works themselves necessarily be accompanied by a technical report, signed by the designer, who shall certify the compliance of the law. Loomed the question whether the act of interpretation, for its validity, should be accompanied by the above project with the technical report.
On this point, the Supreme Court, almost unanimously believed that the resolution condominium conversion of the centralized heating systems in single-family, is valid even if not accompanied by the proposal of works accompanied by a technical report in accordance with Art. 28, paragraph 1, doing this project to the next phase of implementation of the resolution. Such standards, as part of the processes of heating systems designed to save energy, a fact distinguish deliberation "internal" (pertaining to the relationship between the condominiums, subject notwithstanding art. 1120 cc) from an execution phase "external" (relative to the jurisdiction of the successive steps of pa), and only for the latter impose the obligations in argomento (Cass. civ. sez. II, 20 febbraio 2009, n. 4216, Cass. civ. sez. II, 11 maggio 2006, n. 10871, Cass. civ. sez. II, 18 agosto 2005, n. 16980, Cass. civ., sez. II, 29 gennaio 2002, n. 1166, Cass. civ. sez. II, 25 maggio 2001, n. 7130, Cass. civ., sez. II, 26 maggio 1999, n. 5117). Era invece illegittima la deliberazione dell'assemblea del condominio di un edificio adottata a maggioranza delle quote millesimali (anzichè con il consenso unanime di tutti i condomini richiesto dall'art. 1120, comma 2, c.c.) con la quale si prevedeva la trasformazione dell'impianto di riscaldamento centralizzato in impianti unifamiliari e si autorizzava ogni condomino a provvedere autonomamente ad installare l'impianto che ritiene fit, without reference to compliance with the requirements of LN 10 of 1991 for the reduction of energy consumption (Civil Cassation, Section II, May 26, 1999, No 5117)

The wording of Article 26 paragraph 2 in 2006
Later, in 2006, the Legislature, the Legislative Decree 311 of 29 December (corrective and supplementary provisions to the Legislative Decree 19 August 2005, No. 192 implementing Directive 2002/91/EC on the energy performance of ' building), Article 7 added a paragraph to Article 16 bis of Legislative Decree No. 192 August 19, 2005 (Implementation of Directive 2002/91/EC on the energy performance buildings). This article was to amend Article 26 paragraph 2 of Law 10/1991 which was thus: "For work on buildings and plants designed to contain energy consumption and use of renewable energy in Article 1 identified through an energy performance certificate or an energy audit performed by a qualified engineer, the relevant decisions of condominium shall be valid if adopted by a simple majority of the shares thousandths. "

Per completezza, è il caso di precisare che, pochi mesi dopo, l'art. 1, comma 1120 della L. 27 dicembre 2006, n. 296 (in vigore dal 2007) andava a modificare l'articolo 1 comma 3 della Legge 10/91 cui l'art. 26 comma 2 rinvia:

Back to Article 26 paragraph 2, it soon becomes clear three major changes:
1) there is no reference to the actions listed in Article 8 (including, remember, the transformation of plants central heating systems in detached gas for heating and domestic hot water)
2) interventions on buildings and installations should be identified through an energy performance certificate or an energy audit performed by a qualified engineer, this document must already exist at the time of deliberation (as opposed to the project as originally formulated, as we have seen, could be drafted at a later date). This requirement is a penalty of invalidity of the act itself (Triola, The condo, Giuffrè Editore, 2007, page 228)
3) change the wording referred to the decisions, and Monthly, after the word "majority" is added to the adjective "simple" while it remains unchanged the reference to shares only thousandths.

The new wording of Article 26 paragraph 2 (majority ”semplice” delle quote millesimali) aprì tra gli studiosi del diritto un ampio dibattito in merito all'interpretazione della norma così modificata a seguito dell'aggiunta dell'aggettivo “semplice”. La giurisprudenza non aveva avuto ancora modo di pronunciarsi e vi era la più grande incertezza.

La formulazione dell'articolo 26 comma 2 nel 2009
In questo contesto, il Parlamento ha definitivamente approvato il progetto di legge 1195-B (Senato) il quale, all'articolo 27, comma 22 cosi' recita: “Al comma 2 dell'articolo 26 della legge 9 gennaio 1991, n.10, come sostituito dall'articolo 7 del decreto legislativo 29 dicembre 2006, n. 311, dopo le words: "a simple majority of the shares thousandth" are added as follows: "represented by those present at the meeting". "
a result of the amendment, Article 26 paragraph 2 now reads: "For work on buildings and plants designed to contain energy consumption and use of renewable energy in Article 1, identified by a certificate certification of energy or an energy audit performed by a qualified engineer, the relevant decisions of condominium shall be valid if adopted by a simple majority of the shares represented by those present at the meeting thousandths. "

The law is now pending publication in the Official Ufficiale.

Il legislatore ha così lasciato invariato il riferimento alle sole quote millesimali in deroga al generale principio della necessità del doppio quorum (teste e millesimi). Ha però precisato che la “maggioranza semplice delle quote millesimali” è riferita agli “intervenuti in assemblea”.

Si ricorda che il legislatore gia' nella formulazione dell'art. 26 comma 2 nel 1991 aveva utilizzato il termine “quote millesimali” in luogo di “valore dell'edificio” così come invece indicato nell'articolo 1136 del codice civile e nella Legge 457/1978 art. 30 co. 2. Il riferimento ai millesimi è stato utilizzato nel codice civile nell'articolo 68 implementing arrangements which specifies that "The values \u200b\u200bof the plans or portions of the plan, briefed to the entire building must be expressed in milliseconds in a special table attached to the building regulations."

The verb "represent" (introduced with the recent amendment) has instead been used by the legislator in 1136 of the Civil Code, the only difference being that in the code are the condos (1136 co 1 cc) or the number of votes (1136 co 2, 3 and 5 cc) or most (Law 457/1978 art. 30 CO 2) that represent the value of the building (or units thousandth). In 26 CO 2 L. 10/91, however, are the odds millesimali che sono rappresentate dagli intervenuti.

Fatte queste piccole precisazioni, entrando nel merito della norma di legge qui in commento, dalla frase “maggioranza semplice delle quote millesimali rappresentate dagli intervenuti in assemblea” intenderei che sono le quote millesimali (e non la maggioranza) ad essere rappresentate dagli intervenuti in assemblea. Se fosse stata la maggioranza ad essere rappresentata dagli intervenuti in assemblea (cosi' come indicato dalla Legge 457 del 1978 all'art. 30 comma 2), la frase sarebbe stata del seguente tenore: “La maggioranza semplice delle quote millesimali rappresentata dagli intervenuti in assemblea”.

In prima convocazione, come è noto, paragraph 1 of Article 1136 Civil Code provides that the Assembly is validly constituted with the participation of many apartment buildings that represent two-thirds of the value of the building and two-thirds of participants in the condominium. As the new wording of Article 26 paragraph 2 L. 10/91 refers only to the thousandth shares represented by those present and the meeting of participants in the condominium, it follows that, on first call, having to be two-thirds of the value of the building, the decision can be validly taken if they are favorable many condominiums carrying at least one third plus one of the vintages, these shares could also belong to a single condominium. is instead the case of the second call in which the legislature has provided only a quorum and a quorum (Cass. civ., sect. II, January 28, 1997, n. 850).
Since it is not a quorum minimum so that the Assembly is validly constituted, need to refer only to the quorum necessary for the validity of the proceedings (Civil Cassation, Section II, April 26, 1994 n 3952).
is therefore now wonder what, on second call, a quorum for the validity of the proceedings pursuant to Article 26 paragraph 2 L. 10/91.
The legislation requires the majority of shares but does not specify a minimum micron.
Inoltre il termine “assemblea” (che prevede la presenza di più persone) ed il plurale del termine “intervenuti”, non avendo il legislatore indicato un numero minimo di partecipanti, farebbero ritenere che debbano essere presenti almeno due condomini.

Poichè, come sopra riferito, il Legislatore fa riferimento alle quote millesimali rappresentate dagli intervenuti, a mio avviso è sufficiente che all'assemblea partecipino almeno due condomini. A questo punto, stante la presenza in assemblea in seconda convocazione di almeno due condomini ed indipendentemente dal valore delle quote millesimali rappresentate, e' valida la deliberazione assunta con la maggioranza dei millesimi degli almeno due presenti.
